1. Services Overview

Parallel Studio provides creative and digital services including:

• Design subscriptions

• Web design and management plans

• Project-based design and marketing

• Branding, SEO, and social media management

  
  

Some services are billed on a recurring subscription basis, while others are one-off project engagements.

2. Ownership of Work

All final and approved creative work, source files, and design assets created by Parallel Studio for a Client (“Projects”) become the property of the Client once full payment is received.

Clients are free to use, modify, or reproduce their Projects without restriction.

Parallel Studio retains the right to showcase completed work publicly (including on our website, social media, and marketing materials) unless the Client has signed a mutual Non-Disclosure Agreement (NDA).

3. Website and Subscription Plans

For Clients subscribed to ongoing Website Plans or Design Subscriptions, the following conditions apply:

• Access to services, assets, and hosted websites is maintained only while the subscription is active.

• If payments stop or the plan is cancelled, access to the hosted website and/or services is suspended.

• Clients may cancel or downgrade with 30 days written notice.

• No partial refunds or prorated credits are issued for mid-cycle cancellations.

  
  

4. Project-Based Engagements

For one-off projects (branding, campaigns, design sprint, website builds, etc.):

• A non-refundable deposit or full payment may be required to begin work.

• Once the project has commenced, no refunds will be issued.

• Delays caused by Client in providing feedback, content, or approvals may extend delivery timelines.

5. Payments

All invoices are payable in Australian Dollars (AUD).

Late or missed payments may result in suspension of service and/or project delays.

For subscription plans, payments are automatically charged at the interval selected (weekly, monthly, or otherwise).

6. Third-Party Tools and Licenses

Some services may include or integrate with third-party software (for example: fonts, plugins, APIs, analytics, or AI-based tools).

Parallel Studio may use third-party or AI-assisted software (such as Midjourney or similar tools) for research or inspiration purposes only. All final deliverables are custom-designed by our team and not generated directly by AI.

Parallel Studio will advise when external licenses are required, but Clients remain responsible for obtaining and maintaining their own legal usage rights for any third-party assets integrated into their project.

7. Intellectual Property Rights

Parallel Studio retains ownership of:

• Pre-existing assets, design systems, and processes used to deliver services.

• Any design concepts or drafts not selected by the Client.

  
  

Clients retain ownership of all final approved deliverables upon full payment.

8. Client Responsibilities

Clients agree to:

• Provide accurate information and timely feedback.

• Ensure that all materials supplied to Parallel Studio (logos, copy, photos, etc.) are legally owned or licensed.

• Comply with applicable laws and not use designs for unlawful purposes.
  
  

9. Refunds and Cancellations

• Project-based work: No refunds once work has begun.

• Subscriptions & Website Plans: Clients may cancel with 30 days notice. No refunds for prior payments.

  
  

10. Limitation of Liability

Parallel Studio is not liable for:

• Loss of data, revenue, or business resulting from delays, technical issues, or third-party failures.

• Any indirect, incidental, or consequential damages.

  
  

Our total liability for any claim shall not exceed the total fees paid by the Client in the 3 months preceding the claim.

11. Privacy and Data

We handle all client and user data in accordance with the Australian Privacy Principles (APPs) under the Privacy Act 1988 (Cth).

12. Termination

Parallel Studio reserves the right to terminate any engagement or subscription immediately if the Client:

• Violates these terms;

• Fails to make payment; or

• Engages in conduct that may harm Parallel Studio’s reputation or operations.

Upon termination, any outstanding invoices remain due and payable.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia, and both parties submit to the exclusive jurisdiction of its courts.

14. Modifications

Parallel Studio reserves the right to update or modify these Terms at any time. Updates will be posted on our website and take effect immediately upon publication.
